1. Introduction

1.1 Description

These Terms and Conditions (the “Agreement” or “Terms and Conditions”) govern your (“User”) access to and use of the FairPropReviewer.com ("FPR Platform") services and features. Upon using the FPR Platform, the User acknowledges and agrees to be bound by all terms and conditions set forth in this Agreement.

1.2 Privacy Policy Reference

This Agreement expressly incorporates by reference the FPR Platform Privacy Policy, which is considered an integral and binding part of this Agreement.  The Privacy Policy, outlining the Platform's processing of personal data, is available on the FPR Platform website and by pressing the following link Privacy Policy.

1.3 FPR Platform Description

FPR Platform (hereinafter referred to as the "Platform," "Service," "Site," “FPR”, or collectively as "We") is an online application designed to function as an affiliate platform for traders seeking to analyze, compare and explore various proprietary trading firms.

Through the Platform, Users are granted the ability to access and analyze information pertaining to proprietary trading firms. Utilization of the Platform requires an active internet connection and a compatible web browser with sufficient support.

The Platform is hosted on FairPropReviewer's servers and is accessible through the website located at fairpropreviewer.com.

Access to certain functionalities of the Platform may be contingent upon Users registering, designed to cater to the diverse needs and preferences of Users.

2. User Representations and Warranties

2.1 User Compliance

Users are obligated to utilize the Platform in strict compliance with all applicable laws, regulations, and any agreements they may have with third parties. This includes, but is not limited to, copyright laws, intellectual property laws, data privacy regulations, and any user agreements entered into with external service providers accessed through the Platform. Users are solely responsible for ensuring their compliance with all such external requirements.

2.2. User Conduct

Users shall conduct themselves with respect towards all other Users, Platform representatives, and any affiliated third parties. This includes refraining from any conduct that could be considered defamatory, harmful, threatening, abusive, or harassing. Users are further prohibited from engaging in discriminatory or offensive behavior based on race, ethnicity, religion, gender, sexual orientation, or any other protected characteristic.

2.3. Prohibited Activities

Any and all malicious activities that could compromise the integrity, security, or functionality of the Platform are strictly prohibited. This includes, but is not limited to, the introduction of viruses, malware, or other harmful code; attempts to gain unauthorized access to the Platform or user accounts; intentionally interfering with the Platform's operation or performance; and exploiting any bugs or vulnerabilities in the Platform. Users are also prohibited from using the Platform to engage in any illegal activities.

2.4. User Agreement

By accessing and utilizing the Platform, Users expressly acknowledge their agreement to be bound by these User Conduct Guidelines. Users who violate these User Conduct Guidelines may face disciplinary action, including account suspension or termination, at the sole discretion of the Platform.

3. Disclaimers of Warranties and Limitations of Liability

The FPR Platform is not liable for any losses incurred by Users in connection with their trading activities with any proprietary trading firm listed on the Platform. This includes, but is not limited to, losses arising from:

1. Trading Decisions and Performance: The FPR Platform is a resource to help Users compare different firms. We do not control or influence the trading strategies, risk management practices, or overall performance of any listed firm. The responsibility for evaluating these factors and making informed trading decisions lies solely with the Users.
2. Adherence to Firm Regulations: Each firm has its own set of rules and regulations governing trader behavior and account management. Users are responsible for understanding and complying with these regulations before engaging in any trading activity. The FPR Platform does not guarantee the accuracy or completeness of information provided by listed firms regarding their regulations.
3. Firm Insolvency or Non-Payment: While the FPR Platform strives to list reputable firms, there is always a risk of firm insolvency or financial difficulties. Users acknowledge that the FPR Platform cannot guarantee the financial solvency of any listed firm. Losses incurred due to a firm's inability to meet its financial obligations are not the responsibility of the FPR Platform.

Users are strongly encouraged to conduct thorough due diligence on any firm before engaging in any trading activity. This due diligence should include, but is not limited to, researching the firm's track record, financial health, regulatory compliance history, and user reviews.

The FPR Platform provides information, including pricing details and other particulars of proprietary trading firms, solely for informational purposes. This information is derived from various sources and may not be guaranteed to be entirely accurate, complete, or up-to-date. The FPR Platform makes no express or implied warranties or representations regarding the accuracy, reliability, or completeness of such information.

Users expressly acknowledge and agree that the FPR Platform is not responsible for any decisions or actions taken by Users based on the information presented on the Platform. Users are solely responsible for conducting their own independent research and due diligence before making any trading or investment decisions. The FPR Platform does not provide financial advice and the information presented should not be considered as such.

By utilizing the Platform, Users assume full responsibility and risk for any and all consequences arising from their reliance on the information contained on the Platform. The FPR Platform shall not be held liable for any losses or damages incurred by Users, directly or indirectly, as a result of their use of the information or their interactions with any proprietary trading firm listed on the Platform.

4. My Trading Journey One-Month Free Trial

As part of the features available within FPR Platform, Users are provided with a one-month free trial of the My Trading Journey (the “MTJ”) tool. This trial period is designed to allow Users to explore the functionalities and benefits offered by MTJ.

Following the trial period, the Users can continue using the paid service of MTJ or can cancel the trial at any time.

5. Loyalty Program

FPR Platform introduces a Loyalty Program—an additional feature aimed at enhancing the User experience. Under this program, users have the opportunity to earn loyalty rewards (the “FPR Coins”) through eligible purchases conducted on the Platform.

The allocation of loyalty points may be subject to change at our discretion, without prior notification to Users. This allows us the flexibility to adapt the program in response to evolving circumstances, while still ensuring that users are rewarded for their ongoing engagement.

FPR Coins accrued through the program can be redeemed according to the terms outlined by FPR Platform. The nature and value of rewards may undergo modifications over time. These adjustments allow FPR Platform to ensure the relevance and attractiveness of the rewards, offering users a dynamic and beneficial experience.

6. Jurisdictional Limitations

The information and services provided on this website are not intended for distribution to, or use by, any person or entity in any jurisdiction or country where such distribution or use would constitute a violation of local law or regulation.

Users are solely responsible for determining whether accessing or utilizing the website complies with all applicable laws and regulations in their jurisdiction. Users are advised to consult with legal counsel regarding any potential legal or regulatory concerns before accessing or using the website.

3. Disclaimer of Liability. The FPR Platform disclaims any and all liability for losses or damages arising from the use of, or reliance on, the information presented on this website. This includes, but is not limited to, losses stemming from:

2.                Outdated Information. Subsequent market movements or other factors may render the information outdated. Users are encouraged to regularly review the platform for updates and seek confirmation directly from firms for time-sensitive information; and
3.             Technical Issues. Website outages or technical difficulties may impede access to the latest information.

4. User Responsibility for Information Currency. Users bear sole responsibility for ensuring they access the most current information available on the FPR Platform. Regularly refreshing browser caches and potentially seeking updates directly from listed firms are recommended practices for accessing the latest information.

Users are strongly encouraged to conduct their own independent research and due diligence before making any decisions.

8. Intellectual Property Rights

The FPR Platform and all content contained herein (collectively, "Our Materials") are protected by intellectual property laws, including copyrights, trademarks, design rights, and other similar rights. Our Materials include, but are not limited to: (i) Information displayed on the website; (ii) Software applications; (iii) Documentation; and (iv) Any other materials provided by or accessible through the platform.

1. Ownership. Our Materials are either the sole and exclusive property of the FPR Platform or our third-party licensors. You acknowledge and agree that no ownership rights are transferred to you by accessing or using the Platform.
2. Protection of Intellectual Property Rights. All intellectual property rights subsisting in Our Materials, including but not limited to copyrights, trademarks, design rights, and other similar rights, are and will remain the exclusive property of the FPR Platform or its third-party licensors (as applicable)  This includes:

1.                  Our Materials themselves; and
2.                Any updates, modifications, compilations, enhancements, and derivative works created therefrom.

3. Limited License Grant. You are granted a limited, non-exclusive, non-transferable license to access and use Our Materials solely for the purpose of utilizing your account in accordance with these Terms and Conditions.
4. Restrictions on Use. You are expressly prohibited from the following without our prior written consent: (i) Sharing; (ii) supplying; (iii) copying; (iv) reproducing; (v) distributing Our Materials to any third party; (vi) Modifying; (vii) translating; (viii) reverse engineering (ix) decompiling; (x) disassembling Our Materials; (xi) Creating derivative works based on Our Materials; or (xii) Framing or mirroring any content on the Platform.
5. Termination of Access. We reserve the right, at our sole discretion, to suspend or terminate your access to Our Materials upon: (i) Closure of your account; (ii) Requirement from a third-party service provider or licensor; (iii) Compliance with applicable laws or regulations; or (iv) Violation of these Terms and Conditions.
6. Reservation of Rights. We reserve all rights not expressly granted to you in these Terms and Conditions.

9. Indemnification

In consideration of your use of the FPR Platform, you agree to indemnify, defend, and hold harmless the FPR Platform, its affiliates, partners, officers, directors, employees, agents, licensors, and suppliers (collectively, the "Indemnified Parties") from and against any and all claims, demands, losses, liabilities, costs, or expenses (including reasonable attorneys' fees) arising out of or relating to: (i) Your violation of these Terms and Conditions; (ii)Your use or misuse of the FPR Platform; (iii) Your engagement with any listed firm on the Platform; or (iv) Your infringement upon the intellectual property rights or other rights of any third party.

1. Third-Party Claims. You further agree to indemnify and defend the Indemnified Parties from and against any claims brought by third parties arising out of or relating to your use of the Platform.
2. Right to Control Defense. The Indemnified Parties reserve the right, at our sole option, to assume the exclusive defense and control of any matter subject to indemnification by you. You agree to cooperate fully with the Indemnified Parties in the defense of such matters.
3. LIMITATION OF LIABILITY. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, THE INDEMNIFIED PARTIES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO YOUR USE OF THE PLATFORM, EVEN IF THE INDEMNIFIED PARTIES HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Reservation of Rights and Modification of Terms and Conditions

10.1. Reservation of Rights

The FPR Platform reserves all rights not expressly granted to you in these Terms and Conditions.

10.2. Modification of Terms and Conditions

The FPR Platform reserves the right, at its sole discretion, to modify, update, or revise these Terms and Conditions at any time. We will endeavor to provide Users with reasonable notice of any material changes to the Terms and Conditions. This notice may be provided through various methods, including: (i) Posting the revised Terms and Conditions on the FPR Platform; (ii) Sending an email notification to Users (if we have your email address on file); (iii) Displaying a prominent notification on the Platform.

10.3. User Agreement and Continued Use

The revised Terms and Conditions will be effective immediately upon posting or upon the specified effective date provided in the notice. Your continued use of the FPR Platform following the posting of revised Terms and Conditions constitutes your acceptance of the revised terms.

10.4. Dispute Resolution Regarding Modifications

If you disagree with any revision to the Terms and Conditions, you may choose to terminate your account and discontinue your use of the FPR Platform.

11. Governing Law and Dispute Resolution

11.1. Governing Law

These Terms and Conditions and any disputes arising out of or relating to your use of the FPR Platform (including any breach thereof) shall be governed by and construed in accordance with the laws of Sri Lanka, without regard to its conflict of law principles.

11.2. Dispute Resolution

Any legal action or proceeding arising out of or relating to these Terms and Conditions or your use of the FPR Platform shall be brought exclusively in the courts located in Colombo, Sri Lanka, and you hereby consent to the personal jurisdiction and venue of such courts.

12. Severability

If any provision of these Terms and Conditions is held to be invalid, unlawful, or unenforceable in any jurisdiction, such provision shall be struck from these Terms and Conditions without affecting the validity or enforceability of the remaining provisions.  The remaining provisions shall remain in full force and effect.

14. Extra Account Promotion

14.1. Extra Account Promotion Eligibility

This "Extra Account Promotion" (the "Promotion") is available to users who have purchased a service through the FPR Platform (the "Purchase").

14.2. Submission Requirements

To be eligible for the Promotion, users must fulfill the following requirements within two (2) weeks of their Purchase: Upload a valid order confirmation document to their FairPropReview.com member site.

In the event of achieving a payout with the chosen firm, notify FPR via email at [email protected]

14.3. Verification Process

Upon receiving your payout notification, FPR will verify the information with the designated proprietary trading firm (the "Firm").

14.4. Delivery of Additional Challenge Account

Assuming successful verification and fulfillment of all Promotion requirements, you can expect to receive the additional challenge account within four (4) business days.

14.5. Exclusion

Please note: This Promotion does not apply to instant account purchases.

14.6. Review Requirement

As a final requirement for receiving the additional challenge account, you must submit a genuine review of the Firm through FPR.
